IN NO EVENT SHALL CHUYS'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO CHUYS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

10. Indemnification

You agree to defend, indemnify, and hold harmless Chuys and its officers, directors, employees, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

You hereby consent to the personal jurisdiction and venue of such courts and waive any objection to the laying of venue of any such proceeding in such courts.

These Terms are subject to applicable federal laws of the United States, including the Federal Trade Commission Act (15 U.S.C. § 41 et seq.), which prohibits unfair or deceptive acts or practices in commerce, and any other applicable federal consumer protection statutes. Where the Services are offered to residents of California, the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA) may also apply.

12. Dispute Resolution

12.1 Informal Resolution

We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. Both parties agree to negotiate in good faith to resolve the dispute. If the parties are unable to resolve the dispute informally within the thirty (30) day period, either party may proceed to formal dispute resolution as described below.

12.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

If the parties are unable to resolve a dispute through informal negotiation, any controversy or claim arising out of or relating to these Terms, the Services, or the breach thereof shall be settled by binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA), including its Consumer Arbitration Rules where applicable. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction.

The arbitration shall be conducted on an individual basis. You agree that you may bring claims against Chuys only in your individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action or proceeding.

12.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST CHUYS. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS OR REPRESENTATIVE ACTION.

12.4 Exceptions to Arbitration

Notwithstanding the foregoing arbitration agreement, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Nothing in this arbitration provision shall prevent either party from seeking such relief in a court of competent jurisdiction.

Chuys shall not be liable or responsible to you, nor be deemed to have defaulted under or breached these Terms, for any failure or delay in the performance of our obligations under these Terms when and to the extent such failure or delay is caused by or results from acts beyond our reasonable control, including but not limited to: acts of God, flood, fire, earthquake, explosion, governmental actions, pandemics or public health emergencies, war, invasion or hostilities, terrorist threats or acts, riot or other civil unrest, national emergency, revolution, insurrection, epidemic, lockouts, strikes or other labor disputes, restraints or delays affecting carriers, or inability or delay in obtaining supplies of adequate or suitable materials.
